Lakeshore’s consultants have wide-ranging experience in supporting management and owners in performing required due diligence to understand and assess the financial and operational matters of the entities involved in the M&A transaction. In addition, Lakeshore can assist the owners in both “buy” and “sell” side due diligence processes in the following areas: 

  • Financial due diligence: 

    • Balance sheet analysis – detailed analysis and verification of all balance sheet components 

    • Analysis of balance sheet/off-balance sheet debt, other obligations, covenant compliance, and contingent liabilities 

    • Income statement analysis/EBITDA normalization (Quality of Earnings Analysis) 

    • Working capital analysis and trending 

  • Commercial due diligence: 

    • Review of the target’s business model (existing strategy, products, services, geographic assessment) 

    • Review key commercial agreements/contracts with suppliers, significant customers, leases etc. 

  • Closing Contract Review 

    • Review of Sale and Purchase Agreement (SPA) with a focus on financial terms and corporate governance matters

  • Act as Client representative during M&A: 

    • Negotiate contractual terms with other advisors involved in the M&A transaction and advise the stakeholders on the adequacy of the scope of services

    • Reviewing valuation reports (enterprise valuations, assets valuation) & due diligence reports prepared by other M&A advisors 

    • Prepare clients for diligence inquiries and review documents before submission of data requests.
