Working capital analysis and trending
Commercial due diligence:
Review of the target’s business model (existing strategy, products, services, geographic assessment)

Review of Sale and Purchase Agreement (SPA) with a focus on financial terms and corporate governance matters
Act as Client representative during M&A:
Negotiate contractual terms with other advisors involved in the M&A transaction and advise the stakeholders on the adequacy of the scope of services
Reviewing valuation reports (enterprise valuations, assets valuation) & due diligence reports prepared by other M&A advisors
Prepare clients for diligence inquiries and review documents before submission of data requests.
